• You assume full responsibility for your use of the platform and any resulting outcomes

• HS code lookup suggestions (requiring customs authority verification)
• Duty and cost estimation tools (for informational purposes only)
• Marketing content suggestions

4. User Accounts

4.1 Account Registration

• You must provide accurate and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must be at least 18 years old and have legal capacity to enter contracts
• One account per user/business entity unless otherwise authorized
• You must have authority to bind your organization if registering on behalf of a company

4.2 Account Security

You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach. We are not liable for any losses resulting from unauthorized account access.

5. Subscription Plans and Payment

5.1 Free Trial

We may offer a free trial with limited features. Free trials are subject to these Terms and may be modified or discontinued at any time without notice.

5.2 Paid Subscriptions

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by applicable law

7. Intellectual Property

All content, features, and functionality on TradesIQ, including but not limited to text, graphics, logos, AI algorithms, software, databases, and data compilations, are owned by TradesIQ or its licensors and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for your internal business purposes only, subject to these Terms.

7.3 Your Data

You retain ownership of your original company data. By using our service, you grant us a worldwide, royalty-free license to use, store, process, and analyze your data to provide and improve our services, generate aggregated insights, and train our AI systems.

8. AI-Generated Content and Data Accuracy

8.2 No Guarantee of Accuracy

We make NO representations or warranties regarding the accuracy, completeness, reliability, currentness, or suitability of any AI-generated content. Our AI systems may produce:

• Inaccurate, incomplete, or outdated information
• Errors in calculations, estimates, or analyses
• Incorrect buyer/supplier information or contact details
• Outdated regulatory or compliance information
• Errors in HS codes, duty rates, or trade classifications
• Hallucinated or fabricated information

8.3 Third-Party Data Limitations

TradesIQ aggregates data from various third-party sources including trade databases, public records, and commercial data providers. We do not verify, guarantee, or endorse the accuracy of any third-party data. Such data may be incomplete, outdated, or erroneous.

8.4 User Verification Obligation

YOU ARE SOLELY RESPONSIBLE for verifying all information before acting upon it. This includes but is not limited to: verifying buyer/supplier legitimacy, confirming contact information, validating HS codes with customs authorities, confirming duty rates, verifying compliance requirements with legal counsel, and conducting proper due diligence.

By using TradesIQ, you expressly acknowledge and assume the following risks:

• AI-generated content may be inaccurate, misleading, or completely wrong
• Business leads may be invalid, outdated, or fraudulent
• Trade data may be incomplete or contain errors
• Compliance suggestions may not reflect current regulations
• Cost and duty calculations may be inaccurate
• Business decisions based on platform outputs may result in losses
• Third-party data sources may provide erroneous information
• Market analyses and recommendations may not align with actual market conditions

YOU VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH YOUR USE OF THE PLATFORM AND ANY RELIANCE ON ITS OUTPUTS. TRADESIQ SHALL NOT BE LIABLE FOR ANY CONSEQUENCES RESULTING FROM YOUR USE OF OR RELIANCE ON THE PLATFORM.

You agree to defend, indemnify, and hold harmless TradesIQ, its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your violation of any third-party rights
• Any business decisions you make based on platform outputs
• Any transactions or dealings with third parties identified through the platform
• Any content or data you submit to the platform
• Any claims by third parties arising from your use of platform outputs

This indemnification obligation shall survive termination of these Terms and your use of the Service.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at legal@tradesiq.io and attempt to resolve the dispute informally for at least sixty (60) days.

13.2 Binding Arbitration

If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Connecticut, USA, and judgment on the award may be entered in any court having jurisdiction.

13.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service without first engaging in arbitration.

14. Termination

We may suspend or terminate your account immediately, without prior notice or liability, if:

• You violate any provision of these Terms
• Your payment fails or account becomes past due
• We reasonably suspect fraudulent, illegal, or harmful activity
• Required by law or legal process
• We discontinue the Service (with reasonable notice where possible)

Upon termination, your right to use the Service ceases immediately. Sections regarding disclaimers, limitation of liability, indemnification, and dispute resolution shall survive termination.

15. Changes to Terms

We reserve the right to modify these Terms at any time in our sole discretion. We will provide notice of material changes via email or platform notification. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, United States, without regard to its conflict of law principles. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Connecticut.

17. Export and Trade Compliance

You acknowledge and agree that:

• TradesIQ provides informational suggestions only, not trade compliance advice
• You are solely responsible for compliance with all applicable export control laws and regulations
• You must independently verify all compliance-related information
• You must obtain necessary export/import licenses and permits from appropriate authorities
• You must not use the platform for transactions prohibited by international sanctions
• You are responsible for conducting due diligence on all trading partners
• TradesIQ is not liable for any compliance violations or penalties

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TradesIQ regarding the Service and supersede all prior agreements and understandings.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
